Terms of Service

These terms govern your use of CitraInsight, an IT asset intelligence platform by Code & Clause Systems. By signing up or installing the agent, you agree to these terms.
1. About
CitraInsight (“CitraInsight”, “the Service”) is a product of Code & Clause Systems, Bhopal, Madhya Pradesh, India. CitraInsight provides IT asset discovery, software compliance monitoring, and infrastructure intelligence for organisations.
2. Eligibility
You must be at least 18 years old and authorised to bind your organisation to enter into this agreement. By creating an account, you represent that you have such authority.
3. Account Registration
- You must provide accurate and complete information during signup
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorised access at security@citrainsight.in
- One organisation account per legal entity; multiple admin accounts are permitted under RBAC

Prices are exclusive of applicable taxes (GST at 18%). Pricing may change with 60 days’ prior written notice.
5. System Cap & Licensing
- Your subscription includes a System Cap — the maximum number of endpoints permitted under your plan
- Each device with the CitraInsight agent installed counts as one licensed system
- If you exceed your System Cap, you have a 15-day grace period to either remove excess agents or upgrade your plan
- After the grace period, reporting for unlicensed systems will be suspended until compliance is restored
- System count is calculated based on active agents that have sent at least one heartbeat in the preceding 30 days
6. Read-Only Software
CitraInsight observes and reports. It never modifies, deletes, or blocks anything on your systems. The agent is strictly read-only and does not alter files, settings, or running processes. CitraInsight does not enforce compliance — it reports findings for your organisation to act upon.
7. Acceptable Use
You agree to:
- Use CitraInsight only for your own organisation’s IT asset management and compliance monitoring
- Ensure all employees whose machines are monitored are informed about the deployment
- Comply with all applicable laws, including employment and privacy regulations
You agree not to:
- Reverse-engineer, decompile, or redistribute the software
- Use the platform to covertly monitor individuals without appropriate organisational authorisation
- Share scan data, reports, or findings with software vendors or use them for vendor audits
- Attempt to bypass licensing, rate limits, or security controls
- Use the Service for any illegal purpose
8. Data Ownership
All scan data, inventory results, and compliance reports generated by CitraInsight from your systems are your data. Code & Clause Systems acts as a data processor and claims no ownership over your organisation’s data.
- You may export your data at any time via the dashboard or API
- Upon termination, you may request a full data export within 30 days
- We will delete your data within 90 days of account closure
8a. Registration Data & Communications
During signup and setup, we collect registration information including name, email, phone, company details, designation, industry, company size, and estimated system count. This data is used for service delivery, account management, billing, and — with your consent — product updates. Full details are described in our Privacy Policy Section 2.1.
- Registration data retention: 24 months from last account activity.
- Scan data retention after termination: 90 days, then permanently deleted.
- Opt-out: You may opt out of marketing communications at any time by emailing privacy@citrainsight.in.
9. Intellectual Property
All intellectual property in CitraInsight — including the agent, server, dashboard, detection engine (DEEP_MAP), scoring algorithms, software catalog, and documentation — remains the exclusive property of Code & Clause Systems. Your subscription grants a usage license only; no IP is transferred.
10. Confidentiality
Both parties agree to treat confidential information received from the other party with the same degree of care as their own confidential information. CitraInsight will never share your scan data, compliance findings, or system inventory with any third party, including software publishers.
11. Service Availability
- We target 99.5% monthly uptime for the CitraInsight server and dashboard
- Scheduled maintenance will be communicated at least 48 hours in advance
- The agent operates independently during server downtime and queues data for transmission when connectivity is restored
12. Support
- Email support: support@citrainsight.in
- Response time: within 24 hours on business days
- Critical security issues: prioritised response within 4 hours
13. Updates & Changes
We may update the Service from time to time to improve functionality, security, or compliance. Agent updates may be delivered automatically if auto-update is enabled. We will notify you of material changes to features or terms at least 30 days in advance.
14. Suspension & Termination
- You may cancel your subscription at any time. Service continues until the end of the paid billing period.
- We may suspend your account for material breach of these terms, with 7 days’ written notice (except for security emergencies).
- Upon termination, the agent enters a grace period and then stops transmitting data. No data is deleted during the grace period.
15. Refund Policy
Paid subscriptions are eligible for pro-rata refund of unused whole months, subject to the following:
- Pro-rata calculation: Refund = (unused whole months / total months) × amount paid. Partial months are not refunded.
- Processing fee: ₹500 or 5% of the gross refund amount, whichever is higher.
- Liability cap: Maximum refund shall not exceed ₹10 per licensed system per unused month.
- Timeline: Refunds are processed within 14 business days of approval.
- Not eligible: Trial periods, early-access periods, and partial months are not eligible for refund.
- Credit notes: A credit note PDF is issued for every processed refund.

16. Limitation of Liability
Liability Cap: Our total aggregate liability shall not exceed the greater of: (a) the subscription fees paid by you in the 12 months preceding the claim, or (b) ₹10 per licensed system. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.
17. Indemnification
You agree to indemnify and hold harmless Code & Clause Systems from any claims arising from your use of the Service in violation of these terms, applicable law, or third-party rights.
18. Warranty Disclaimer
CitraInsight is provided “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that detection results are exhaustive or error-free.
19. Governing Law & Dispute Resolution
- Governing law: Laws of India
- Negotiation: Good-faith negotiation for 30 days
- Arbitration: Binding arbitration in Bhopal, Madhya Pradesh, under the Arbitration and Conciliation Act, 1996
- Jurisdiction: Exclusive jurisdiction of the courts of Bhopal, Madhya Pradesh for non-arbitrable matters
20. Entire Agreement
These Terms, together with the Privacy Policy, Security page, and EULA, constitute the entire agreement between you and Code & Clause Systems. They supersede all prior agreements, whether written or oral.
